These Terms of Service (“Terms” or “Agreement”) constitute a legally binding contract between ExamHall (“ExamHall,” “we,” “our,” or “us”) and you, whether personally or on behalf of an institution (“you,” “your,” “User,” or “Subscriber”).

These Terms govern your access to and use of our exam proctoring services, prep portals, Waitlists, result book managers, AI tutors, and any related applications or site subdomains at examhall.net.

Age Eligibility: You must be at least 13 years old to create a standalone account. If you are under 13, you may only access the platform if enrolled by an educational institution (K-12 school board or testing authority) that contractually provides parent-approved institutional consent.

1. Account Management & Security

To utilize ExamHall, you must create a designated account. We offer two primary workspaces:

  • ExamHall Examiner: Reserved for teachers, school administrators, coordinators, and corporate recruiters to compile exams, configure proctoring limits, and generate broadsheets.
  • ExamHall Prep: Designed for students, self-learners, and test candidates to access questions, flashcards, mock schedules, and study portals.

You agree to provide true, accurate, current, and complete profile details. You are fully responsible for maintaining the confidentiality of your login passwords and for all actions occurring under your account. You must notify us immediately of any unauthorized breach of security or system usage.

2. Proctoring & Exam Administration

The ExamHall Examiner platform features robust proctoring mechanisms designed to preserve academic honesty for academic institutions.

Institutional Responsibilities

Educators and institutional examiners determine what proctoring constraints are activated, including webcam tracking, audio auditing, window focus locks, and IP subnet locks. Testing institutions are solely responsible for addressing academic dishonesty accusations based on generated reports.

Candidate Responsibilities

When sitting for a proctored examination, you agree to keep your webcam centered, keep your browser window focused on the exam layout, grant permission for audio and screen-shares, and complete the validation checks. Any attempt to circumvent security rules (such as virtual machines, external screens, screenshot injection, keyboard shortcuts, or leaving the examination workspace window) will trigger automatic focus-shift flags and integrity indicators.

3. AI Study Tools & Content Rights

ExamHall provides sophisticated automated study modules, including an AI study tutor, automated flashcard generation, quiz builders, and question document text extraction.

User-Generated Content (UGC)

You retain full intellectual property ownership of any syllabus, custom questions, exam papers, or study documents you upload or create in your workspace.

Licenses Granted to ExamHall

By uploading content, you grant ExamHall a limited, worldwide, royalty-free, non-exclusive license to host, format, store, process (including AI analysis), and transmit that content solely to deliver service modules to you and your authorized institutional administrators.

Accuracy & Legality

You warrant that you hold appropriate distribution rights for all material you upload. You are prohibited from uploading copyright-infringing academic material or exam papers from restricted testing boards.

4. Subscription Billing & Credits

Certain premium templates, exam dashboards, study summaries, and custom proctoring features require financial compensation.

  • Billing Frequency: Subscription programs are invoiced on a recurring monthly or annual schedule through Stripe or Paystack. You authorize us to deduct the active rate using your registered payment card.
  • Automated Renewal: Subscriptions renew automatically unless cancelled via your account workspace before your next billing date.
  • Purchase Credits & Rollovers: Credits purchased for proctoring seats, AI tutor queries, or custom test packages hold specific expiration profiles. Proctoring credits remain active for the duration of the institutional subscription cycle.
  • Refund Policy: Except as prohibited by local consumer law, all purchases and credit allocations on ExamHall are non-refundable. If you cancel a subscription, access to premium tools will continue until the end of your current paid billing period.

5. Prohibited Actions & Conduct

You agree not to engage in any of the following unauthorized activities while accessing our workspaces:

  • Deploying automated crawlers, scrapers, or spider scripts to index, harvest, or extract questions, user data, or source codes.
  • Attempting to bypass security protocols, probe node vulnerabilities, or launch Distributed Denial of Service (DDoS) requests against our network nodes.
  • Reverse-engineering the AI tutor workflows, proctoring algorithms, focus shift detection patterns, or proprietary result algorithms.
  • Sharing or distribution of exam questions, test keys, and institutional broadsheets without clear educational administration consent.

6. Limitations of Liability & Disclaimers

EXAMHALL AND ALL INCLUDED WORKSPACES (EXAMINER, PREP, AI TUTOR) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED.

We do not warrant that the platform will operate completely uninterrupted, that AI-generated question explanations will be 100% accurate, or that the proctoring logs will resolve all grading discrepancies. Academic evaluation results and student rankings are ultimately dictated by educators.

TO THE FULLEST EXTENT ALLOWED BY LAW, IN NO EVENT SHALL EXAMHALL OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL LOSSES RESULTING FROM USE OF THE SERVICES, SYSTEM DOWN-TIME, OR ACADEMIC DISPUTES.

7. Dispute Resolution & Governing Law

Governing Law: This Agreement is governed by the laws and regulations of the state of Delaware without regard to conflict of laws guidelines.

Arbitration Agreement: Any legal dispute, claim, or controversy arising from these Terms or your use of ExamHall shall be resolved via binding individual arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
